By accessing or using ZipLead at ziplead.ai("the Service," "we," "us," "our"), operated by Ctrl+Alt+Design, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you're using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

ZipLead is a software-as-a-service platform that helps users discover, score, and manage local business leads. The Service aggregates publicly available business information from sources such as Google Places and Foursquare, then enriches it with third-party data providers (e.g., BuiltWith, ZeroBounce, Hunter.io). ZipLead surfaces information — it does not place phone calls, send SMS messages, or send mass email on your behalf.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must provide accurate information during registration and keep it up to date. We may suspend or terminate accounts that violate these Terms.

You agree NOT to use the Service to:

• Place calls, send SMS messages, or send email in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, National Do Not Call Registry rules, or any state-level equivalents (including Florida's FTSA, Washington's CEMA, and Oklahoma's TCPA)
• Use automatic telephone dialing systems (ATDS), pre-recorded voice messages, ringless voicemail, robotexts, or similar technology to contact prospects surfaced through the Service without obtaining all consents required by law
• Send unsolicited bulk email (spam) or marketing email that lacks required CAN-SPAM disclosures (unsubscribe link, physical address, accurate headers)
• Re-sell, syndicate, license, or distribute data obtained through the Service to third parties
• Use the data to compile a consumer database, credit score, employment screen, insurance underwriting tool, or any other purpose regulated by the Fair Credit Reporting Act (FCRA), Gramm-Leach-Bliley Act (GLBA), or equivalent laws
• Scrape, mirror, frame, or reverse-engineer the Service or its data
• Bypass, circumvent, or attempt to circumvent rate limits, plan caps, authentication, or API access controls
• Use automated means to access the Service beyond the provided API (Command plan)
• Interfere with or disrupt the Service, its infrastructure, or other users' access
• Use the Service for any unlawful, fraudulent, deceptive, defamatory, or harassing purpose

You are solely responsible for ensuring your outreach activities comply with all applicable federal, state, and local laws — including but not limited to TCPA, CAN-SPAM, DNC rules, and state consumer-protection statutes. We provide data; you are the caller, texter, or emailer.

Business data surfaced by the Service is aggregated from publicly available sources and third-party data providers. We do not warrant the accuracy, completeness, currency, or timeliness of any data. Phone numbers, email addresses, and other contact details may be outdated, repurposed, or incorrect at the time of outreach. You are responsible for verifying that a phone number or email address is correct, current, and appropriate to contact before initiating outreach.

Paid plans are billed monthly through Stripe in U.S. dollars. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

• Renewal: Subscriptions auto-renew at the start of each billing cycle unless cancelled before the renewal date
• Cancellation: You can cancel anytime through your dashboard or the Stripe-hosted billing portal. Cancellation takes effect at the end of the current paid period
• Refunds: All sales are final. We may issue refunds at our sole discretion in cases of billing error or material service unavailability. Email billing@ziplead.ai within 7 days of a charge to request review
• Pricing changes: We will give at least 30 days notice by email before any price increase. Continued use after the effective date constitutes acceptance
• Failed payments: Stripe retries automatically. If all retries fail, your account downgrades to the free tier

Each paid plan includes a specific allotment of searches and enrichment credits per billing cycle. Unused credits do not roll over. We may, at our sole discretion, allow occasional overage usage or temporarily increase limits for specific accounts. We reserve the right to throttle, suspend, or block accounts that significantly exceed their plan limits or that impose costs disproportionate to subscription fees (including but not limited to excessive third-party API usage).

The Service — including its design, code, scoring algorithms, branding, and user interface — is owned by Ctrl+Alt+Design. You retain ownership of any data you upload or notes you create through the Service. You grant us a limited, royalty-free, non-exclusive license to process your data solely to provide the Service. Aggregated and de-identified usage statistics may be retained for product improvement.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT BUSINESS DATA SURFACED BY THE SERVICE IS ACCURATE, CURRENT, OR LEGAL TO CONTACT WITHOUT FURTHER VERIFICATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTRL+ALT+DESIGN AND ZIPLEAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY CLAIM RELATED TO THIRD-PARTY OUTREACH ACTIVITIES BY YOU — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Ctrl+Alt+Design, ZipLead, and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service, (b) your outreach to any business or individual based on data surfaced by the Service, (c) your violation of these Terms or any applicable law (including TCPA, CAN-SPAM, DNC rules, FCRA, GLBA, or state equivalents), or (d) your violation of any third-party right.

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms or for conduct that we believe harms us, other users, or third parties. You may cancel your account at any time through the dashboard. Upon termination, your right to use the Service ceases immediately; sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

These Terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts. You and we agree to first attempt good-faith resolution of any dispute by emailing legal@ziplead.ai before initiating any formal proceeding.

We may update these Terms from time to time. For material changes, we will notify active users by email and post an updated "Last updated" date at the top of this page at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance.
